I think Wileycoyote is on the right track. If it was a RAM problem, it should beep on power up, not power down. I have an old 333 clone sitting here that I had a similar problem with. I corrected it by changing some BIOS power management crap, though I don't remember the specifics. I think it was related to front panel push button settings and resume after power loss settings.

Update:
so i opened my computer, and there is a vibrating noise so i was tryin to figure out where it's comin from. and i narrowed it down to my CPU Fan, i think time has run out for the poor thing lol time for a new CPU ;) time to upgrade from AMD T-Bird 1ghz to AMD XP 2100 heh

Just to make sure there's no other problems, pull the processor out and power it on. You may or may not get any beeps, but see if the power stays on or shuts down. If it shuts down with the processor pulled you may have another problem.

Hmmm, the shutdown problem may have been power mgt problem, but the beeps on boot usually indicate a POST error. What are the beeps, i.e. two long, three short, etc. We can look up the beep codes, but if your cpu fan has problems, it's pretty likely the cpu got cooked.

Here ya go sport. Looks like a cooked CPU or a bad powersupply. You board has an Award BIOS, the only published beep code is 1 long followed by 2 or 3 short beeps which indicates a video problem. When you were fiddling withe CPU fan you may have wiggled the video card. Try reseating it. All other beep codes indicate a CPU or RAM failure, but they are not published. Any other failure, Award displays a message. Reseat the RAM, and CPU.
Good Luck!

I've never worked on, owned, or used an AMD based system. No wait, I take that back, I just fixed my buddies POS Compaq Pressario 5000, and it was an AMD system. Come to think of it, it had thermal problems as well. My guy at Compaq said there is a problem with the AGP video card (I forget which model) and the Northbridge chipset that causes excess heat. It fried his Athlon 750. I'm one of those Intel freaks who cannot be convinced, despite overwhelming evidence, that AMD is better [;)].

LOL i used to sell the damn things in a former life. the AMD INTEL debate was a daily thing the XP chips caused more arguments than i care to remember. i know as more than most about the benifits and down sides to both processors and to be honest id say if your on a budget then get the AMD and spend out on RAM, HDD, and Graphics. If you've got all the decent components and can afford the more expensive P4 then i'd buy it. Its all about arguments. if someone asks you what CPU Speed you have and you say AMD XP processor you get the same lecture on you know thats not its clock speed don't you then they try and guess why its poor. oh well.[;)]

Yeah... AMD's get much hotter than Intel, they do more work per cycle though, I thik thats why
Help me understand what is meant by "more work per cycle". I've heard that before but, I don't get it. Keep in mind, I'm not real smart [paranoid]
